These Terms & Conditions (“Terms”) govern your access to and use of the ChiquiRucas website, online store, membership services, events, programs, activities, and related services (collectively, the “Services”). By accessing our website, purchasing products or services, enrolling in a membership, registering for an event, or otherwise participating in our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or Services. 1. About ChiquiRucas ChiquiRucas Society is a community created to encourage women to embrace friendship, confidence, curiosity, adventure, personal growth, wellness, culture, entrepreneurship, and an active approach to life. Our Services may include, but are not limited to: • Membership programs • Community activities and gatherings • Workshops and seminars • Social and cultural events • Retreats and travel experiences • Wellness and fitness-related activities • Educational and personal-development programs • Entrepreneur and business-related resources • Merchandise and apparel • Online content and community resources • Discounts and special offers • Partner services and experiences Specific Services, benefits, pricing, availability, and eligibility may change from time to time. 2. Eligibility You must provide accurate information when registering for an account, membership, event, purchase, or other Service. Certain events, programs, or activities may have age, health, experience, location, or other eligibility requirements. ChiquiRucas reserves the right to establish reasonable eligibility requirements for particular Services. If you register another person for an event or activity, you represent that you are authorized to provide their information and accept applicable terms on their behalf. 3. Website Use You agree to use this website only for lawful purposes. You may not: • Use the website in a way that violates applicable law; • Attempt to interfere with the operation or security of the website; • Access areas or information you are not authorized to access; • Use another person's account or identity without permission; • Upload malicious software or harmful material; • Scrape, copy, reproduce, or commercially exploit website content without authorization; • Harass, threaten, intimidate, or otherwise abuse other members, guests, employees, contractors, vendors, or community participants; or • Use the ChiquiRucas website or community to promote unlawful, fraudulent, discriminatory, or harmful activity. We reserve the right to restrict or terminate access to the website or Services when reasonably necessary to protect our community, business, website, or other users. 4. Memberships Memberships are offered according to the membership descriptions and prices displayed at the time of purchase. Membership benefits may include access to member resources, discounts, special pricing, invitations, workshops, community activities, newsletters, and other benefits described on the applicable membership page. Membership benefits are subject to availability and may change. Some benefits may be provided by third parties and may be subject to additional terms, restrictions, availability, or expiration dates. Membership does not guarantee admission to any particular event, retreat, workshop, trip, activity, or program unless expressly stated. 5. Membership Approval, Suspension and Revocation ChiquiRucas Society, LLC reserves the right, in its sole discretion and to the extent permitted by applicable law, to approve, deny, suspend, restrict, cancel, or revoke any membership or membership application. Membership is a privilege and is subject to compliance with these Terms & Conditions, applicable membership rules, and ChiquiRucas community standards. ChiquiRucas may refuse or revoke membership, or suspend or restrict membership privileges, when we reasonably determine that such action is necessary or appropriate, including, but not limited to: • Violation of these Terms & Conditions or other ChiquiRucas policies; • Violation of membership rules or community standards; • Harassment, threats, intimidation, discrimination, or abusive conduct; • Fraudulent, deceptive, or unlawful conduct; • Conduct that creates a safety concern; • Conduct that materially disrupts ChiquiRucas activities, events, services, or community; • Misuse of ChiquiRucas property, membership benefits, discounts, accounts, or services; • Providing false or misleading information; • Conduct that may negatively affect the safety, integrity, operation, or reputation of the ChiquiRucas community or organization; or • Any other circumstance in which ChiquiRucas determines that cancellation, suspension, restriction, or revocation is reasonably necessary or appropriate. Where permitted by applicable law, ChiquiRucas may take such action without prior notice when immediate action is reasonably necessary. Unless otherwise required by applicable law, cancellation, suspension, or revocation of a membership does not automatically entitle the member to a refund of membership fees already paid, including fees paid for a membership period that has already begun. Nothing in this section authorizes ChiquiRucas to take action for a reason prohibited by applicable federal, state, or local law. Membership Fees Membership fees are disclosed on the applicable membership enrollment or purchase page at the time of enrollment. ChiquiRucas may offer different membership levels, each of which may have different fees, benefits, eligibility requirements, and membership terms. Membership fees and available membership levels may be changed from time to time. Any applicable price will be clearly displayed before the purchase or enrollment is completed. Membership fees are separate from fees that may apply to certain events, retreats, workshops, merchandise, travel experiences, services, or other activities unless expressly stated otherwise. If a membership is offered with automatic renewal, the applicable renewal price, renewal frequency, and renewal terms will be disclosed before enrollment and in accordance with applicable law. Automatic Renewal If an applicable membership is offered on an automatic-renewal basis, the renewal terms, renewal price or applicable pricing, renewal frequency, and cancellation method will be disclosed before enrollment and in the enrollment confirmation. Where required by law, ChiquiRucas will obtain affirmative consent to automatic renewal and provide required renewal notices. Members may cancel an automatically renewing membership using the cancellation method provided by ChiquiRucas. If the membership is enrolled online, ChiquiRucas will provide an online method for cancellation as required by applicable law. California law currently requires specific disclosures, affirmative consent, acknowledgment information, and cancellation procedures for covered automatic-renewal arrangements. Membership Activation, Cancellation and Refunds Memberships purchased through ChiquiRucas Society are subject to a thirty (30)-day activation period beginning on the date of purchase. During the initial thirty (30) days following purchase, the membership is being processed and activated. Membership benefits, features, discounts, member-only services, and other membership privileges are not available during this activation period. Activation Date and Membership Term Following completion of the thirty (30)-day activation period, the membership will become active and the member will receive access to the benefits and services included with the applicable membership. The active membership term will remain valid for twelve (12) months beginning on the activation date. Accordingly, the membership will generally remain associated with the member for approximately thirteen (13) months from the original purchase date, consisting of: • 30-day activation period, followed by • 12-month active membership period. The membership expiration date will therefore be based on the activation date and will not be based on the anniversary of the original purchase date. Cancellation and Refund Period A member may cancel the membership and request a refund within thirty (30) calendar days from the original purchase date. Once the thirty (30)-day cancellation and refund period has expired, no refund of the membership purchase price will be provided, except where a refund is required by applicable law. Cancellation after the thirty (30)-day period does not create a right to a partial or prorated refund. Cancellation of Future Renewal If the membership is subject to automatic renewal, a member may cancel future renewal in accordance with the cancellation instructions provided at enrollment and applicable law. Cancellation of future renewal does not result in a refund of the current membership term after the thirty (30)-day refund period has expired. Changes to Membership Benefits Membership benefits, services, discounts, events, programs, and other features may change from time to time. ChiquiRucas Society may modify, replace, suspend, or discontinue individual benefits when reasonably necessary, subject to applicable law. A change to an individual membership benefit does not automatically create a right to a refund of the membership fee. Nothing in this section limits any non-waivable consumer rights provided under applicable law. 6. Events, Activities, Workshops and Programs ChiquiRucas may offer free and paid events and activities to members, non-members, guests, and members of the general public. Event descriptions, dates, locations, prices, schedules, and availability may change. We reserve the right to: • Change an event date, time, location, instructor, speaker, itinerary, or program; • Modify or substitute portions of an event or activity; • Limit attendance; • Cancel or postpone an event; • Refuse participation when reasonably necessary for safety, compliance, capacity, or other legitimate business reasons. Changes, Modification, Postponement and Cancellation of Events and Services ChiquiRucas Society, LLC reserves the right, in its sole discretion and when reasonably necessary or appropriate, to modify, reschedule, postpone, substitute, suspend, or cancel any event, seminar, workshop, retreat, activity, program, service, class, trip, or other ChiquiRucas offering. Changes or cancellations may be made for reasons including, but not limited to: • Safety concerns; • Weather or natural events; • Venue or facility issues; • Instructor, speaker, performer, vendor, or service-provider availability; • Transportation or travel-related circumstances; • Insufficient registration or participation; • Scheduling or operational considerations; • Changes in availability of products, services, facilities, or personnel; • Government requirements or restrictions; • Health or emergency considerations; • Circumstances beyond ChiquiRucas's reasonable control; or • Any other circumstance in which ChiquiRucas determines that a change or cancellation is necessary or appropriate. ChiquiRucas may change the date, time, location, format, itinerary, speaker, instructor, vendor, content, activities, or other components of an event or service. When reasonably possible, ChiquiRucas will provide participants with notice of significant changes or cancellations. If an event or service is cancelled, any refund, credit, transfer, or other remedy will be determined according to the applicable event-specific cancellation or refund policy and applicable law. Unless otherwise expressly stated, a change to an individual component, speaker, instructor, activity, venue, itinerary item, or other feature of an event or service does not automatically create a right to a refund. Nothing in this section limits any non-waivable rights or remedies provided under applicable law. • Where an event requires a separate registration agreement, waiver, release, or other consent form, that agreement may apply in addition to these Terms. 7. Assumption of Risk Certain ChiquiRucas activities may involve physical activity, travel, outdoor activities, exercise, sports, walking, recreational activities, self-defense instruction, or other activities that may carry inherent risks. Participation in such activities is voluntary. Participants are responsible for determining whether they are physically and otherwise capable of participating safely. ChiquiRucas does not provide medical advice and does not represent that any particular activity is appropriate for every participant. Certain activities may require a separate waiver or release before participation. If so, that document must be completed as a condition of participation. 8. Travel and Third-Party Services ChiquiRucas may promote, coordinate, or facilitate travel experiences, retreats, transportation, lodging, tours, restaurants, entertainment, instructors, venues, or other services provided by independent third parties. Unless expressly stated otherwise, third-party providers are independent businesses and are not employees or agents of ChiquiRucas. Third-party services may be subject to their own terms, cancellation policies, fees, restrictions, and requirements. ChiquiRucas is not responsible for circumstances outside our reasonable control involving an independent third-party provider, including changes, delays, cancellations, service interruptions, injuries, losses, or other issues arising from the provider's services, except to the extent liability cannot legally be excluded. Additional travel-specific terms may apply to particular trips or retreats. 9. Merchandise and Online Purchases Products offered through our online store are subject to availability. Product photographs are provided for illustrative purposes. Actual colors, appearance, packaging, sizing, or other characteristics may vary depending on the product, screen settings, manufacturer, or production process. Prices, product descriptions, availability, and promotions may change without notice. We reserve the right to correct pricing, description, inventory, or other errors and, where appropriate, cancel an order affected by an obvious error. 10. Payments Payments may be processed through third-party payment processors. By submitting payment information, you authorize the applicable payment processor to process the transaction according to the terms presented at checkout. ChiquiRucas does not knowingly retain complete payment-card information when payment processing is handled by an independent payment processor. You are responsible for providing accurate billing and contact information. 11. Refunds and Cancellations Refund eligibility varies depending on the product or Service purchased. Where a specific refund or cancellation policy applies, that policy will be disclosed at the time of purchase or registration. Unless otherwise stated: • Event registration fees may be non-refundable after a stated cancellation deadline; • Membership fees are non-refundable after membership activation period. • Third-party services may be subject to the third party's refund and cancellation policies. Nothing in these Terms is intended to limit any non-waivable consumer rights provided by applicable law. Merchandise — All Sales Final Because ChiquiRucas merchandise is made to order, all merchandise sales are final and nonrefundable. Orders cannot be cancelled, returned, exchanged, or refunded due to change of mind, incorrect size selection, color preference, or other reasons unrelated to a product defect or fulfillment error. Customers are responsible for reviewing product descriptions, sizing information, color options, and other available product information before completing a purchase. If you receive merchandise that is defective, damaged during fulfillment or shipment, or materially different from the item ordered, please contact ChiquiRucas promptly after receiving the order. We will review the situation and, where appropriate, determine whether a replacement, store credit, refund, or other resolution is available. Nothing in this policy is intended to limit any rights or remedies that cannot legally be excluded under applicable law. 12. Promotions, Discounts and Member Benefits ChiquiRucas may offer promotional codes, discounts, giveaways, special pricing, member benefits, or other promotional opportunities. Unless expressly stated otherwise: • Promotions may have expiration dates; • Promotions may not be combined; • Promotions may be limited to eligible members or customers; • Promotions may be limited to one use per person or transaction; • Promotional offers may be changed or discontinued; • Discounts do not have cash value unless required by law. Additional terms may apply to individual promotions. 13. Community Standards ChiquiRucas is intended to provide a welcoming and respectful community. Participants are expected to treat other members, guests, speakers, instructors, vendors, volunteers, and staff respectfully. We may restrict, suspend, or terminate a person's participation in ChiquiRucas activities, membership, online communities, or Services if we reasonably determine that the person has engaged in harassment, threats, discrimination, abusive conduct, fraud, disruption, unsafe conduct, or other behavior inconsistent with our community standards. Depending on the circumstances, termination may occur without a refund, to the extent permitted by law. 14. User Content Members and visitors may have opportunities to submit comments, photographs, videos, testimonials, reviews, suggestions, social-media content, or other materials (“User Content”). You retain ownership of User Content that you own. By voluntarily submitting User Content to ChiquiRucas for publication, you grant ChiquiRucas a nonexclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and publish that User Content for purposes related to operating, promoting, and communicating about ChiquiRucas, subject to applicable law. You represent that you have the necessary rights and permissions to submit the User Content and that its use by ChiquiRucas will not knowingly violate another person's rights. 15. Photography and Video at Events ChiquiRucas Society, LLC (“ChiquiRucas”) may photograph, videotape, livestream, or otherwise record events, activities, workshops, gatherings, retreats, and other ChiquiRucas experiences. By registering for, attending, entering, or participating in a ChiquiRucas event or activity where photography or recording is taking place, you acknowledge that photography, video, audio recording, and other forms of media capture may occur during the event. By choosing to participate in an event where photography or recording is taking place, you acknowledge and agree that you may be photographed, videotaped, recorded, or otherwise captured in audio or visual media and that such media may be used by ChiquiRucas, without additional notice or compensation, for legitimate business, promotional, marketing, advertising, educational, social-media, website, newsletter, and community-related purposes. You grant ChiquiRucas a non-exclusive, worldwide, royalty-free right and license to use, reproduce, edit, publish, display, distribute, and otherwise utilize photographs, videos, recordings, and other media in which you appear in connection with the operation, promotion, marketing, or communication of ChiquiRucas and its Services. You understand that ChiquiRucas may publish such media on its website, social-media platforms, promotional materials, advertisements, newsletters, videos, and other current or future media channels. Photography and recording are considered a normal and expected part of participating in ChiquiRucas events where recording is taking place. By choosing to attend or participate in such an event, you acknowledge and agree to this Photography and Video Policy. ChiquiRucas does not guarantee that an individual can be completely excluded from photographs, videos, recordings, livestreams, or other media captured during group or public events. Nothing in this section is intended to waive or limit any rights that cannot legally be waived under applicable law. 16. Intellectual Property The ChiquiRucas name, logos, trademarks, slogans, designs, graphics, photographs, videos, written materials, website content, and other original materials are owned by or licensed to ChiquiRucas and are protected by applicable intellectual-property laws. You may not reproduce, modify, distribute, sell, publish, create derivative works from, or commercially exploit ChiquiRucas intellectual property without prior written permission. Nothing in these Terms grants you ownership of ChiquiRucas intellectual property. 17. Third-Party Websites and Links Our website may contain links to websites, social-media platforms, vendors, service providers, or other third-party resources. These links are provided for convenience. ChiquiRucas does not control third-party websites and is not responsible for their content, privacy practices, availability, products, services, or policies. Informational Content Content provided through the ChiquiRucas website, newsletters, workshops, social-media channels, seminars, or other Services may be educational, inspirational, entertainment-oriented, or informational. Unless expressly stated otherwise, such content does not constitute medical, legal, financial, tax, mental-health, investment, or other professional advice. You should consult an appropriately qualified professional regarding your individual circumstances. 19. No Guarantee of Results ChiquiRucas does not guarantee any particular personal, professional, financial, health, relationship, entrepreneurial, or other outcome from participating in our Services. Individual experiences and results will vary. Testimonials, stories, examples, or statements from members or participants represent their individual experiences and should not be understood as guarantees of future results. 20. Disclaimer of Warranties To the fullest extent permitted by applicable law, the website and Services are provided on an “as is” and “as available” basis. ChiquiRucas does not guarantee that the website or Services will always be uninterrupted, error-free, secure, complete, accurate, or available. Nothing in these Terms excludes or limits warranties or rights that cannot lawfully be excluded or limited. 21. Limitation of Liability To the fullest extent permitted by applicable law, ChiquiRucas Society, LLC and its owners, members, officers, employees, contractors, volunteers, representatives, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the website or Services. This limitation does not apply to liability that cannot legally be limited or excluded under applicable law, including liability arising from conduct for which such limitation would be prohibited.
